Corporate Law is based on the foundation of the business norms. On the basis of your preference and the eligibility criteria, you can pursue corporate law as a certificate, diploma, undergraduate, or postgraduate major. Corporate law is offered as a specialisation in courses such as BA LLB and LLM. It deals with the various procedures and laws related to organisational issues. Taxation laws, intellectual property, IT laws, contract laws and so many other topics are included in the Corporate Law or Company Law syllabus. Therefore, it presents the students with an exciting career scope and prospects after completing the respective Corporate Law programmes.

List of Subjects in Corporate Law

Some of the core subjects that are a part of Corporate law subjects are very much the same to Business Law subject:

Oppression, Mismanagement, and Investigation

  • Powers and roles of Company Law Board

Corporate Liquidation

It deals with the concepts related to winding up of a company and its regulations. The important topics include:

Corporate Governance and Social Responsibility

It covers an overview of banking law and includes details on banks in India. The changing roles of banks in India, role of RBI, Negotiation and Endorsement, and emerging trends in Banking Laws.

Consumer Protection Act

It gives an introduction to the Consumer Protection Act, 2002. It includes information on Dispute Redressal Agencies, procedure for filing Consumer Complaints, etc.

Corporate Finance Law

It gives an introduction to corporate entities, SEBI guidelines, Depositories Act, 1996, Mutual Funds, Foreign Investment, and book building.

Labour Law

An introduction to Labour Law, laws related to wages, Case Laws, appeals and revisions, social security, and laws related to specific industries.

IT Act

An introduction to cyber laws, e-commerce and e-governance, cyber offences, cyber jurisprudence, cyber crimes, etc. is provided to the students through this subject.

Semester I - Core

Corporate Law

An introduction to company law is provided in it. Along with that, students get exposed to topics like membership of the company, shares of the company, features of partnerships, shares and dividends, relation of partners, limited liability partnership and other related concepts.

Semester I - Core

Law of Contracts

An overview of the Indian Contract Act 1872 is given here. Along with that, the students learn about concepts like void agreements, free consent, capacity to contract, quasi-contracts, discharge of contracts, bailment and pledge and other associated topics.

Semester I - Elective

Laws Related to Banking

The basics of banking law can be covered through this subject. It also includes details on RBI, its roles and functions, changing functions of banks, negotiation and endorsement, emerging trends in Banking Law and other topics.

Semester II - Core

Corporate Restructuring Law

The meaning of corporate restructuring and its importance are explained in it. The insights regarding takeover, demerger, merger and amalgamation, financial restructuring, cross-border restructuring, JVs and reorganising businesses, corporate governance and due diligence, and corporate debt restructuring are also provided through this subject.

Dispute Resolution Law

An introduction to basic dispute resolution is given in this subject. The details on topics such as arbitration, arbitral tribunals, negotiation, mediation, conciliation, civil procedure mediation rules, and other related concepts are also discussed here.

Corporate Finance Law

An introduction to SEBI and corporate entities is given along with details regarding Securities Contract Act, 1956, SEBI guidelines of pricing of issue, Depositories Act, 1996, listing of securities, and other related concepts are also included in it.

Semester III - Core

Corporate Governance

An overview of corporate governance is given through this subject. It includes topics such as Corporate Board, Corporate Reputation, Majority Rule and Minority Protection, Corporate Social Responsibility and Corporate Governance, etc.

Semester III- Core

Labour Law

An introduction to labour laws is given via this subject. It also deals with concepts such as laws related to wages, laws related to industrial relations, laws related to equality and empowerment of women, laws related to social security, laws related to employment and training, and offences and penalties as per GST.

Semester III- Elective

IT Act

An introduction to cyber laws is given in this subject. It includes concepts like cyber laws from Indian and international perspectives, intellectual property in cyberspace, constitutional rights v/s cyber crime, etc.

Semester III- Core

Intellectual Property Law

The concept of intellectual property rights is explained in this subject. It includes concepts like The Paris Convention, The Berne Convention, Indian Patent Law, Indian Copyright Law, and Indian Trademark and Industrial Design Law.

Semester IV- Core

Taxation Law

An introduction to the taxation system in India is given in this subject. It includes topics such as direct and indirect taxes, residential status of a person, Income Tax Act, 1961, GST, and collection of taxes in India.
